These terms and conditions apply to the use of the website, baxtermurray.co.uk (the "Website") or orders which may be placed by other methods.

You confirm that you have read these terms and conditions and agree to adhere to them in their entirety when visiting our website at baxtermurray.co.uk

or by placing an order at Baxter Murray Ltd. Please refrain from using this Website if you do not agree to these terms and conditions.

These terms and conditions apply to all our orders and are not subject to any other contractual terms defined by you, the buyer. All sales are bound by our terms and conditions. We may update or vary our terms and conditions from time to time, so check for periodic changes.

Trading Details
When you order with us through this website, you are contracting with Baxter Murray Limited, a limited liability company, incorporated in Northern Ireland.

Please note the law of Northern Ireland will apply to this contract.

Ordering - Chocolates with personalised packaging/print.

When placing an order please supply the delivery address with a contact name and telephone number. If the invoice address is different or you work with purchase orders please also include these details.

All prices are quoted in pounds sterling.

All goods are firm sale only.

Order Quantity
Quantities are shown for guide pricing only. We aim to supply your preferred quantity so you can save money by only purchasing the amount you need. Call us for a quotation.


Bespoke Designs
To order a bespoke design please supply your design in black line art to size, in an EPS or PDF file at 300 dpi.

Printing & Artwork /CMYK and 'Spot' Colours.
We can supply artwork templates for your designer for all our standard range of labels, cards, wrappers and truffle boxes. If you don't have access to a designer, we may be able to help. Design time and re-touching of artwork is charged at £25.00 per hour.
Artwork must be supplied to us in a print-ready PDF (font embedded) format, in CMYK with a minimum 300dpi resolution. We process jobs in CMYK format as standard. We cannot take responsibility for colour reproduction of

RGB files, or files supplied outside of the specifications given. Any 'spot' colours will be converted to CMYK as standard. If a specific 'spot' colour is required, this must be specified at the time of ordering and will attract an additional fee.

Colour Variations
We print to standard ink densities in a 'ganged up' format as standard. Variations in printing can exist.

We will not be held responsible for any variations in colour, either from previous products supplied by us or from work provided from a third party. Also, note that variations may exist due to the nature of the paper or

lamination chosen. However, if a colour match is required for consistency with other products, a printed sample MUST be supplied to us. Please note we do not hold samples of previous work.


Proofs
We will print your artwork as you supply it. We do not proof read artwork.
Soft copy proofs will be emailed if requested. We will not be held liable for any mistakes in artwork.

Bleed
There should be a 3mm bleed around the finished artwork. We will not be held liable for errors generated due to insufficient bleed.

Folds
When card is folded, there can be a small amount of 'cracking' along the spine. This is normal for folded card. However, if the job requires that a solid colour is printed along the fold, the impact of the cracking can be amplified. Therefore, we recommend that, in the case of solid folded colours, a lamination should be used. Similarly,

Spot UV will crack when folded or creased. We are not liable for 'cracking', particularly if the card is unlaminated.


Turnaround Time 
Turnaround Time starts from the date of APPROVAL of artwork and ends at the date of DISPATCH from

Baxter Murray. It is measured in working days. We will always aim to deliver on your requested date but ask that your order and artwork as standard be confirmed a minimum of two weeks prior to dispatch. Allow four weeks for a bespoke item.
If you need your order in a hurry give us a call and we'll try to accommodate you, additional charges are incurred for shorter turnaround times.

Delivery Dates
We will make every reasonable effort to meet our scheduled ship dates. However, there are times, in a production environment, that we may be unable to meet our scheduled ship date. Therefore, our shipping dates are estimates, not guarantees. We do not accept responsibility for missed ship dates. We do not accept responsibility for loss suffered due to missed ship dates.
We will not accept liability for missed ship dates due to non-payment. 

Please note, all deliveries weighing more than 300kgs will take 48 hours to ship as standard.

Couriers
We use reputable courier companies to ship orders. However, we will not be held liable for failure of a courier company to deliver in a timely manner and we will not compensate for lack of performance on the part of a transport company.
Delivery and the customer's acceptance of the chocolates shall be deemed to have taken place upon the signing for the consignment by the customer or any agent, employee, nominee, representative of the customer or by an independent carrier. Customers must provide a delivery address where the order can be accepted and signed for.

Failure to Deliver
When your job is dispatched from Baxter Murray, you will be emailed details of the courier company and the tracking number of your goods. If the delivery attempt fails, the goods are returned to us. You will be charged the cost of all re-delivery attempts. 

Damaged Goods
All goods are shipped at your own risk. That said we do package all consignments as securely as possible to help prevent damage.
We do not take responsibility for goods damaged in transit; you are at liberty to claim for loss from the courier.

LIABILITY
We will not accept responsibility for resold products that are deemed inferior by the end-user.

ACCOUNTS

Payment Terms

Orders must be prepaid at the time of ordering, unless we have expressly agreed an account with you.

Payment shall be made in full, compliant with the terms of the agreed account.

We reserve the right to review and/or remove accounts at any time.
We can accept payment by BACS, credit (Master card/Visa) or debit card. All bank fees are payable by the client and all card payments are subject to a 2% fee.


Interest
We reserve the right to charge 8% interest per annum on all overdue accounts. 


Legal Fees
All legal and administrative fees, including Statutory Demand fees will be charged to your account, in the event of administering overdue accounts and/or the issuing of legal proceedings in the collection of overdue accounts.

Discounts
Discounts are made with the strict understanding that accounts must be settled within the terms of the account. We reserve the right to invoice for said discounts, should you operate your account outside of the agreed terms. 

VAT
UK VAT at the Standard Rate will be added to the price of a job where UK VAT is applicable.

Cancellations
To cancel an order, you must email michael@baxtermurray.co.uk requesting a cancellation.

Cancellation is subject to the following:
If the job has been approved and subsequently cancelled, work may have already begun. If a bespoke design has been ordered, you will be charged for the cost quoted to set-up the design. If print has been ordered, you will be charged for the full cost of the printed material. If Baxter Murray Ltd have provided design time this will be charged at £25.00 per hour and any chocolates produced from your order will be charged at the price quoted.


We reserve the right to re-produce OR grant a refund OR grant a future credit to rectify defective work as we so choose.

We reserve the right to provide a remedy for any defective work provided by us either by reprinting or refinishing or in such a way as we deem appropriate and shall not be liable to refund. If you unilaterally choose to have work re-done by a third party without specific agreement by us, you automatically revoked your right to any remedy from us. We will not be held liable for such rework and the debt to us will remain valid.


We reserve the right to credit your account if we deem a refund should be made.

We reserve the right to offer to replace your job and you must accept such an offer unless you can show clear cause for refusing to do so.

Force Majeure

We will not be held responsible for failure or delay in carrying out our obligations under the contract arising out of any cause outside of our reasonable control or by the inability to procure materials or articles except at a higher price due to any such cause and in such circumstances we shall be entitled by notice to terminate the contract in whole or in part without incurring any liability whatsoever to you.

Shelf Life
Our products are freshly handmade to order, to give you the longest shelf life possible.
Solid chocolates have 9 months and truffles have 10 weeks. We can offer you our draw down service, when you can order personalised packaging in bulk. We'll dispatch with freshly made chocolates in smaller batches at your request.


Bespoke / Personalised Products
Tools of all kinds, moulds, films, drawings and any necessary tool required for production remain our property irrespective if the purchaser contributes to the production costs. Any moulds, tools etc required for special designs will be kept for 6 months before destroying if no re-order is received during this time. These designs may also be added to our general catalogue.
You warrant that you are the author, licensee or assignee of all text, logos, artwork and any other materials ("Material") supplied by you to us and are authorised to supply such Material to be displayed on our products. To the extent permitted by law we hereby expressly exclude any liability where Material supplied by you infringes the intellectual property rights of any third party and any direct, indirect or consequential loss or damage incurred by

any third party in connection with the display of such infringing Material on our products, including, without limitation any liability for loss of income or revenue; loss of business; loss of profits or contracts; loss of goodwill or for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable. We are the distributor (and not a publisher) of Material supplied by you. 

Products
We reserve the right to alter any details or designs of products illustrated without notice and while every effort is made to describe goods accurately in the catalogue no warranty is given to accuracy and no responsibility will be accepted for error or mis-descriptions and any resulting loss.

Promotional Materials
We keep our website and catalogues constantly updated using updated images of our work. This may mean that

your text, logo, artwork and any other materials ("Material") provided by you to us may be photographed and included in our promotional materials. By agreeing to our terms and conditions you authorise us to use your

Materials for these purposes. If you do not wish your personalised products to be photographed, you must notify

us in writing within 7 days of placing an order with us.
